Statutes
Article 1 Name
The Orchestre Symphonique en Vogue is a non-profit and apolitical association governed by articles 60 to 79 of the Swiss Civil Code (CCS) and by these statutes.
Article 2 Seat
The seat of the association is at the home of the secretary.
Article 3 Duration
The duration of the association is indefinite.
Article 4 Purpose
The association aims to create and manage an amateur symphony orchestra. The orchestra's goal is to promote classical music to the youth of the Lausanne region. The committee ensures a regular renewal of members.
Article 5 Members
The OSV gathers natural or legal persons who subscribe to the association's goals. The admission of new members falls under the committee's responsibility.
Each member may leave the association by announcing their departure six months in advance, before the end of a calendar year.
Article 6 Resources
The association's resources are:
- Donations
- Sponsorship
- Profits from events
Article 7 Organs
The organs of the association are:
- The General Assembly
- The Committee
- The auditing body
- The Music Commission
Article 8 General Assembly
The General Assembly is formed of all members.
It meets at least once a year.
An extraordinary assembly can be organized at any time if more than half of the members demand it.
Article 9 Convocation
The convocation and agenda must be sent by the committee at least two weeks before the assembly takes place.
Article 10 Decisions
Decisions of the association are made by simple majority of votes.
Article 11 Minutes
All decisions of the general assembly are subject to written minutes, signed by the president and the secretary.
Article 12 Assignments
The assignments of the general assembly are:
- Nomination of the committee and two auditors
- Approval of annual accounts and discharge to the committee
- Modification of statutes
- Dissolution of the association
Article 13 Committee
The committee consists of at least three members.
The committee is elected for one year by the general assembly. It is eligible for reelection.
It organizes itself by designating a president, a secretary, and a treasurer. Committee positions are approved by the general assembly.
Article 14 decisions
The committee is only valid if a majority of members are present. Decisions are made by majority vote. In case of tie, the president has casting vote.
The artistic director participates in sessions they are invited to and takes part in votes regarding them.
Article 15 Assignments
Assignments of the committee are:
- General administration of the association
- Nomination of the artistic director
- Convocation of the general assembly
Article 16 Compensation
Committee members act voluntarily and can only claim indemnity for actual and travel costs. For activities exceeding the usual frame, members can receive suitable compensation.
Article 17 President
The president convokes the committee when necessary or if three members demand it.
- They establish agenda and manage meetings.
- They also control association activities and management.
Article 18 Artistic Director
The artistic director is engaged by the committee. In concert with the committee, they plan index program. They participate in the music commission.
Article 19 Secretary
The secretary transmits electronically calendar information, concerts, etc.
- They maintain a contact list of musicians.
- They write minutes of meetings.
Article 20 Treasurer
The treasurer manages accounts and informs committee on assets and expenses.
Article 21 Auditors
Auditors are appointed for one year.
They are charged with verification of accounts and present an annual report.
Article 22 Music Commission
The music commission is elected by the General Assembly. Ideally 5 members representing sections (strings, wood, brass). The artistic director completes the commission.
Decides OSV programs. The president can impose financial limits if necessary.
Article 23 Social Year
The social year starts July 1st and ends June 30th.
The first year ends June 30th 2021.
Article 24 Representation
The association is committed by two committee signatures.
Article 25 Responsibility
Only association assets guarantee commitments. Personal liability is excluded.
Article 26 Dissolution
In case of dissolution, assets go to a tax-exempt Swiss institution with similar goals.
